OWNERSHIP OF SITE; AGREEMENT TO TERMS
These Terms of Use (the "Agreement") govern your access to and use of the Caribbean Bookings News division, located at caribbeanbookings.org/news and all associated subdomains, microsites, mobile applications, APIs, and digital properties operated by or on behalf of Caribbean Bookings Corporation (hereinafter "CBC," "Company," "we," "us," or "our"). The Site is the exclusive property of Caribbean Bookings Corporation, a corporation duly organized and validly existing under the laws of the Commonwealth of Puerto Rico, with its principal place of business in Fajardo, Puerto Rico.
BY ACCESSING, BROWSING, OR USING THIS SITE IN ANY MANNER, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND UNCONDITIONALLY AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL TERMS AND CONDITIONS CONTAINED HEREIN, YOU ARE STRICTLY PROHIBITED FROM ACCESSING OR USING THE SITE AND MUST IMMEDIATELY CEASE ALL SUCH ACTIVITY.
CBC reserves the right, at its sole and absolute discretion, to modify, alter, amend, replace, suspend, or discontinue any aspect of this Agreement, the Site, or any content, feature, functionality, or service offered therein at any time, without prior notice, and for any or no reason. It is your affirmative obligation to review this Agreement periodically. Your continued use of the Site following the posting of any changes constitutes your binding acceptance of and agreement to such modifications.
1. INTELLECTUAL PROPERTY RIGHTS; PROPRIETARY OWNERSHIP
1.1 Exclusive Ownership.
The entire Site, including without limitation all text, graphics, user interfaces, visual interfaces, photographs, audio and video recordings, sound recordings, musical works, software code (including object and source code), algorithms, machine learning models, datasets, compilations, metadata, aggregated information, "look and feel," design, structure, selection, coordination, arrangement, expression, and all other content, materials, and information published or displayed (collectively, the "Content") is the sole and exclusive property of CBC, its affiliates, subsidiaries, licensors, or content providers, as applicable. All Content is protected by the copyright laws of the United States of America, the Commonwealth of Puerto Rico, international copyright treaties and conventions, and all applicable intellectual property and proprietary rights laws worldwide, including but not limited to trademark, trade dress, patent, trade secret, and unfair competition laws.
1.2 Reservation of Rights.
Nothing contained in this Agreement shall be construed as conferring, by implication, estoppel, or otherwise, any license or right to use any trademark, patent, design right, copyright, or other intellectual property right of CBC or any third party. All rights not expressly granted herein are expressly reserved by CBC.
1.3 Limited License; Permitted Use.
Subject to your strict compliance with this Agreement, CBC grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited privilege to access and use the Site and to view, download, and print individual pages of Content solely for your personal, non-commercial informational purposes, provided that you (a) maintain all copyright, trademark, attribution, and other proprietary notices intact; (b) do not modify, alter, or create derivative works from the Content; and (c) do not use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text. Any other use, including without limitation the reproduction, modification, distribution, transmission, republication, display, scraping, framing, mirroring, or performance of the Content, is strictly prohibited without CBC's express prior written consent.
1.4 Future Technologies.
This Agreement and the licenses granted hereunder extend to any and all future media, formats, distribution methods, technologies, or devices now known or hereafter devised. CBC expressly reserves the right to exploit the Content through artificial intelligence, machine learning, large language model training, data mining, automated extraction, or any other present or future technological means, and no user or third party may utilize Content for such purposes without a separate, explicit written agreement with CBC.
2. USER-GENERATED CONTENT; SUBMISSIONS
2.1 Grant of Rights.
The Site may from time to time permit the submission, upload, posting, transmission, or display of comments, reviews, photographs, videos, suggestions, feedback, ideas, or other materials (collectively, "Submissions"). By submitting, uploading, posting, or transmitting any Submission to or through the Site, you hereby irrevocably grant CBC and its successors, assigns, licensees, and designees a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, assignable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise exploit such Submission, in whole or in part, in any form, media, or technology now known or hereafter developed, for any purpose whatsoever, commercial or otherwise, without compensation, attribution, or notification to you. You expressly waive any moral rights or droit moral in and to such Submissions.
2.2 Representations and Warranties; Indemnification.
You represent and warrant that (a) you own or otherwise control all rights to your Submissions; (b) your Submissions are accurate and not misleading; (c) your Submissions do not and will not infringe, violate, or misappropriate any third-party copyright, trademark, patent, trade secret, right of privacy, right of publicity, or any other intellectual property or proprietary right; and (d) your Submissions comply with all applicable laws, rules, and regulations. You agree to indemnify, defend, and hold harmless CBC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and litigation expenses) arising out of or related to your Submissions, your violation of this Agreement, or your violation of any rights of another.
2.3 No Obligation.
CBC is under no obligation to (i) review, monitor, or screen any Submissions; (ii) maintain, store, or return any Submissions; or (iii) attribute or compensate you for any Submission. CBC reserves the right, in its sole and unfettered discretion, to refuse, remove, or delete any Submission at any time for any reason or no reason, without prior notice.
3. THIRD-PARTY CONTENT; VERIFICATION; NO RELIANCE
3.1 Content Sourcing.
The Site compiles, aggregates, and disseminates information from public internet sources, manual submissions, third-party licensors, and other external sources (collectively, "Third-Party Content"). CBC exercises no independent verification, editorial control, or quality assurance over Third-Party Content and does not represent, warrant, or guarantee its accuracy, completeness, timeliness, authenticity, reliability, or suitability for any purpose.
3.2 No Endorsement; No Reliance.
The inclusion of any Third-Party Content or link to any third-party website, resource, or service does not constitute an endorsement, approval, sponsorship, or recommendation by CBC. You acknowledge and agree that any reliance upon Third-Party Content accessed through the Site is at your sole and exclusive risk, and CBC shall have no liability whatsoever arising from or relating to your use of or reliance upon such content.
4. DISCLAIMERS; EXCLUSION OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, INFORMATION, MATERIALS, AND SERVICES AVAILABLE THEREON ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. CBC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
CBC DOES NOT WARRANT THAT THE SITE OR ANY CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER HARMFUL COMPONENTS OR DESTRUCTIVE ELEMENTS.
5. LIMITATION OF LIABILITY; EXCLUSION OF DAMAGES
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CBC, ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR MULTIPLE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, LOSS OF DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SITE, OR THE USE OF OR INABILITY TO USE THE SITE OR ANY CONTENT, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTORY DUTY, OR OTHERWISE, AND REGARTERDLESS OF WHETHER CBC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ACKNOWLEDGE AND AGREE THAT THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL BASIS OF THE BARGAIN AND A MATERIAL CONDITION OF YOUR ACCESS TO AND USE OF THE SITE.
6. JURISDICTION; VENUE; GOVERNING LAW; FORUM SELECTION
6.1 Exclusive Jurisdiction and Venue.
This Agreement and all questions of construction, interpretation, validity, performance, enforcement, and breach arising under or related to this Agreement, the Site, or any Content, including any non-contractual disputes or claims, shall be resolved EXCLUSIVELY AND MANDATORILY in the courts of the Commonwealth of Puerto Rico. YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY:
(a) SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE COURT OF FIRST INSTANCE, FAJARDO PART, AND THE UNITED STATES DISTRICT COURT FOR THE DISTRICT OF PUER RICO;
(b) AGREE THAT VENUE SHALL LIE EXCLUSIVELY IN FAJARDO, PUERTO RICO;
(c) WAIVE ANY OBJECTION TO THE LAYING OF VENUE IN ANY SUCH ACTION OR PROCEEDING IN FAJARDO, PUERTO RICO; AND
(d) IRREVOCABLY WAIVE ANY CLAIM THAT ANY SUCH FORUM IS AN INCONVENIENT FORUM OR THAT IT LACKS PERSONAL JURISDICTION.
6.2 Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and the federal laws of the United States of America, WITHOUT REGARD TO ANY CHOICE OR CONFLICT OF LAW PRINCIPLES OR PROVISIONS THAT WOULD DIRECT THE APPLICATION OF THE LAW OF ANY OTHER JURISDICTION.
6.3 Public Policy; Severability.
The parties acknowledge and agree that this forum selection and governing law clause is a material and essential term of this Agreement. Should any provision hereof be deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The parties expressly intend that Puerto Rico law shall apply notwithstanding any contrary public policy or statutory provisions of any other jurisdiction that might otherwise apply.
7. PROHIBITED CONDUCT; ENFORCEMENT
You agree not to, and not to authorize, encourage, or assist any third party to:
(a) Scrape, crawl, spider, harvest, or otherwise extract or copy any Content from the Site using any manual or automated process, including without limitation robots, scripts, bots, scrapers, crawlers, or similar technologies, for any purpose without CBC's express written authorization;
(b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, architecture, structure, or underlying methods of the Site;
(c) Interfere with, disrupt, or disable the Site or any servers, networks, or systems connected thereto;
(d) Introduce any virus, worm, Trojan horse, logic bomb, time bomb, or other malicious or technologically harmful code;
(e) Use the Site for any illegal purpose or in violation of any applicable local, state, commonwealth, federal, or international law, regulation, or ordinance;
(f) Impersonate any person or entity or misrepresent your affiliation with any person or entity;
(g) Use the Site to engage in any commercial activity without CBC's express written consent.
CBC reserves the right to investigate and prosecute any suspected violations of this Agreement to the fullest extent of the law. CBC may, in its sole discretion, terminate, suspend, or restrict your access to the Site, without prior notice and without liability, for any reason or no reason, including without limitation any violation of this Agreement.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless CBC, its parents, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, representatives, licensors, and suppliers from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, damages, costs, fees, fines, penalties, liabilities, judgments, and expenses (including, without limitation, reasonable attorneys' fees, court costs, and investigative costs) arising out of or relating to (a) your use of the Site; (b) your Submissions; (c) your violation of this Agreement; (d) your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right; or (e) your violation of any applicable law, rule, or regulation.
9. TERM AND TERMINATION
This Agreement shall remain in full force and effect for as long as you access or use the Site, or until terminated by CBC. CBC may, in its sole discretion, terminate or suspend your access to the Site or any portion thereof, or this Agreement, at any time, with or without cause, with or without prior notice, and without liability. Upon termination, all licenses and rights granted herein shall immediately terminate, and you must cease all use of the Site and destroy any copies of Content in your possession or control. Provisions of this Agreement that by their nature should survive termination, including but not limited to Sections 1, 2, 4, 5, 6, 8, 9, and 10, shall survive any termination or expiration.
10. MISCELLANEOUS
10.1 Entire Agreement.
This Agreement, together with any other agreements, policies, or disclaimers incorporated herein by reference, constitutes the entire and exclusive agreement between you and CBC with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
10.2 Severability.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
10.3 No Waiver.
No failure or delay by CBC in exercising any right, power, or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.
10.4 No Third-Party Beneficiaries.
Nothing in this Agreement, express or implied, is intended to or shall confer upon any third party any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.
